SimplyClean Homes LLC – Terms & Conditions
These Terms & Conditions ("Terms") govern the provision of residential cleaning services by SimplyClean Homes LLC ("SimplyClean," "we," "us," or "our"). By booking or receiving services, you ("Customer," "you," or "your") agree to be bound by these Terms.

1. Services Provided
SimplyClean provides residential cleaning services on a time-based basis, not a results-based or task-based basis. Services are scheduled in predefined time blocks (e.g., 2-hour, 4-hour, or 6-hour or longer blocks) and are intended to focus on high-impact cleaning areas within the allotted time.
Services are performed by independent cleaning professionals ("Contractors"). SimplyClean does not guarantee that all areas of a home will be cleaned or that any specific tasks will be completed during a scheduled service.

Services may be performed by one or more Contractors. SimplyClean reserves the right to assign multiple Contractors to a scheduled service in its discretion. When multiple Contractors are assigned, the total scheduled time may be divided among them (for example, two Contractors for two hours each to fulfill a four-hour booking). Pricing is based on the total time reserved, not the number of individual cleaners present.

2. Time-Based Service Disclaimer & Disclaimer of Warranties
All services are time-based, not outcome-based. The scope of work completed during a service depends on multiple factors, including but not limited to:
• The condition of the property
• The selected time block
• The size of the home, number of rooms, and number of bathrooms
• Accessibility, clutter, and organization
• Any special instructions or priorities provided by the Customer
No Guarantees or Warranties. To the fullest extent permitted by law, SimplyClean disclaims all express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or workmanship. SimplyClean does not guarantee spotless results, does not guarantee that any specific tasks or areas will be completed within the allotted time, and does not guarantee any particular outcome.
Uncompleted tasks do not roll over to future services unless separately booked and paid for. If a Customer provides priorities or preferences, SimplyClean and its Contractors will make reasonable efforts to address them, but completion is not guaranteed.

3. Independent Contractors
All cleaning services are performed by independent contractors, not employees, agents, partners, or representatives of SimplyClean.
• No employment, agency, joint venture, or partnership relationship is created.
• Contractors are not subject to the direction or control of SimplyClean regarding the manner, methods, or means by which cleaning services are performed.
• Contractors determine, in their own discretion, how to provide cleaning services consistent with industry standards.
No Responsibility for Contractors’ Acts or Omissions. To the fullest extent permitted by law, SimplyClean is not responsible for, and expressly disclaims liability for, the acts or omissions of any Contractor, including but not limited to the manner in which services are performed, except as expressly required by applicable law.

4. Pricing & Payment
• Pricing reflects time reserved, not the completion of specific tasks or results.
• By booking services, Customer authorizes SimplyClean to charge the selected payment method for the full amount of the scheduled services.
• Non-Refundability: Once a service has started, all fees are non-refundable.
• Additional time or services requested on-site are subject to availability and additional charges.
• Pricing may be adjusted due to on-site conditions that differ materially from those represented at booking.

5. Cancellations, Rescheduling & Fees
• Cancellations or rescheduling require reasonable advance notice.
• Same-day or last-minute cancellations may result in a cancellation fee.
• Failure to provide access to the property may be treated as a cancellation.
• SimplyClean reserves the right to reschedule services due to Contractor availability, weather, emergencies, or other unforeseen circumstances.

6. Customer Responsibilities
In addition to providing access and securing pets, Customer agrees to:
• Maintain safe working conditions at the property
• Disclose any hazards, unsafe conditions, fragile items, or special surfaces requiring special care
• Secure or remove valuables prior to services
• Ensure utilities (water, electricity) are available during service
• Acknowledge that Contractors are not required to move heavy furniture or appliances
All bookings, communications, and payments must be processed through SimplyClean and not directly with Contractors.

7. Right to Refuse or Terminate Services
SimplyClean reserves the right to refuse or terminate services, with or without notice, for reasons including but not limited to:
• Unsafe or unsanitary conditions
• Aggressive or inappropriate behavior
• Non-payment or payment disputes
• Misrepresentation of the property or service requirements

8. Damage Reporting
Any claim for damage allegedly caused during services must be reported to SimplyClean within 24 hours of service completion. Claims reported after this period may be denied.

9. Limitation of Liability
To the fullest extent permitted by law:
• Customer’s exclusive remedy, at SimplyClean’s option, is either (a) re-performance of the cleaning services or (b) a refund of the amount actually paid for the specific services at issue.
• SimplyClean shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, emotional distress, loss of use, hotel costs, replacement housing, or missed work.
• SimplyClean is not liable for normal wear and tear, pre-existing damage, defective materials, improper installation, unsafe conditions, or items not reasonably suited for standard residential cleaning.

10. Indemnification
Customer agrees to indemnify, defend, and hold harmless SimplyClean from and against any claims, damages, losses, liabilities, or expenses arising out of:
• Unsafe or undisclosed conditions at the property
• Customer misrepresentations (including square footage or number of rooms)
• Customer negligence or failure to comply with these Terms

11. Force Majeure
SimplyClean shall not be liable for delays or failure to perform services due to events beyond its reasonable control, including but not limited to weather events, natural disasters, power outages, labor shortages, or governmental actions.

12. Dispute Resolution
a. Pre-Arbitration Resolution
Before initiating arbitration, the parties agree to attempt resolution through:
1. Good faith negotiations
2. Mediation within 30 days if negotiations fail
b. Arbitration Agreement
Any dispute not resolved through mediation shall be resolved by binding arbitration, rather than in court. Arbitration shall be conducted on an individual basis.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

13. Class Action Waiver
Customer agrees that disputes must be resolved individually. Customer waives any right to participate in a class, collective, or representative action.

14. Governing Law
Except for arbitration matters governed by the Federal Arbitration Act, these Terms are governed by the laws of the State of Colorado.

15. Photo & Video Documentation
Customer grants SimplyClean permission to take before-and-after photos or videos of the property for documentation, quality control, or training purposes. Marketing use will not include identifying information without consent.

16. Marketing & Communications Consent
Customer consents to receive service-related and marketing communications via email or SMS. Consent may be withdrawn at any time.

17. Supplies & Equipment Disclaimer
SimplyClean and its Contractors use standard residential cleaning supplies and equipment. Customer acknowledges that some surfaces or materials may not be suitable for standard cleaning methods.

18. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement
These Terms constitute the entire agreement between Customer and SimplyClean and supersede all prior or contemporaneous agreements, representations, or understandings, whether oral or written.

20. Updates to Terms
SimplyClean reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of the current Terms.
